London Borough of Camden has reached the end of a Competitive Dialogue Procurement process to establish a joint venture company/Public Private Partnership, the Camden Local Education Partnership (LEP) which will be responsible for delivery of the Building Schools for the Future (BSF) programme within Camden, with a total capital investment value of circa £235m. The LEP must deliver a programme in three phases, consisting of PFI, Design and Build, and remodelling works.
In May 2010, the London Borough of Camden appointed a preferred bidder BAM, who will invest in the LEP and together we have commenced plans to build our team which will be resourced through open advertisements, and secondees from either BAM, our supply chain or the Council. The LEP Board will have full decision making powers over staffing.
The LEP General Manager will report to the LEP Board and will:
- be responsible as head of the LEP Management Team for the day to day operation of the LEP's business;
- work closely at strategic management level with London Borough of Camden and the and key members of the LEP's supply chain at a senior level;
- be accountable for successful and affordable delivery of the Camden BSF Programme in support of the Authority's vision for the transformation of secondary education in Camden;
- maintain oversight and governance of the customer satisfaction obligations;
- establish the LEP team resources and appropriate structures and procedures to ensure smooth delivery of new and contracted projects.
The LEP Board will be looking for an individual who is motivated, enthusiastic and able to demonstrate success and skills and experience derived from the following:
- Strategic management and delivery of complex programmes;
- Excellent leadership, problem solving and negotiation skills;
- Knowledge and understanding of the complexities of the BSF programme and contractual relationships;
- Liaison with key members of the LEP supply chain at senior level
- Experience of leading, motivating and developing strategic partnerships including securing and demonstrating their performance and effectiveness;
- Ability to manage influence and negotiate with a broad range of stakeholders often within the context of a contractual framework;
- Ability to exercise impartiality, balancing affinity with delivery of the Authority's corporate and education vision, strategy, and development programmes alongside an appreciation and responsibility for management of commercial pressures within the LEP, and its supply chain.
- Strong communication skills with ability to manage and negotiate with a broad range of stakeholders
- Ability to analyse and present coherent data for management boards
Experience:
- Strategic knowledge of the BSF programme and Partnerships for Schools
- Previous experience of managing a PFI project to financial close, managing conflicting needs between supply chain parties and negotiating with the Authority
- Experience and knowledge of both PFI and D&B forms of contracts for the construction and operation of schools
- Management of partnerships and consortia
- Previous work with the construction industry and/or education market

BAM selected for PPS project A12 Utrecht Lunetten-Veenendaal

The Directorate-General for Public Works and Water Management (Rijkswaterstaat) has selected BAM as ‘preferred bidder' for the widening of the thirty kilometre long section of the A12 motorway between Utrecht-Lunetten and Veenendaal. This involves a public-private partnership in which BAM is responsible for design, construction, financing and maintenance of the section over a period of twenty years. The contract value is around €260 million.
The financial close of the contract is expected to take place in September 2010. In February 2011, BAM will start work on widening the road. This will take a little over eighteen months, which is considerably shorter than Rijkswaterstaat had expected. As such, BAM will be able to significantly reduce the impact on road users.
The project comprises the construction of a third lane in both directions and the construction and modification of viaducts and traffic installations. The project is being executed by several operating companies of Royal BAM Group, i.e. BAM PPP, BAM Wegen, BAM Civiel, BAM Infratechniek and BAM Infraconsult.
M7/M8 Portlaoise to Cullahill / Castletown PPP Motorway Scheme
The Prime Minister, Mr Brian Cowen, TD, will opened the final section of the M8 Dublin to Cork motorway on 28th May 2010.
The new wishbone-shaped 41km M7/M8 Portlaoise to Cullahill / Castletown PPP Motorway Scheme, costing €491 million, was completed four months ahead of schedule in a PPP partnership between the National Roads Authority and Celtic Roads Group (Portlaoise) Ltd. It will cut up to 45 minutes off the 238km journey from Dublin to Cork at peak times as it provides a motorway / dual carriageway link between both cities. It is also a significant section of the M7 motorway link between Dublin and Limerick; it is anticipated that the remaining two sections of the M7 towards Limerick will be completed by the end of this year.
Kyran Hurley, Chairman of Celtic Roads Group (Portlaoise) Ltd (CRG) said “The opening of this section of the motorway is a great achievement for CRG Portlaoise, the company which brought together the extensive expertise of NTR, BAM PPP and Iridium. This is the third concession project opened by the company and brings to almost 500 lane kilometres, the amount of national primary route under CRG management. The project has been delivered almost 4 months ahead of schedule and the effort of BAM contractors and Dragados as the design and construction contractor has made this possible. Midlink will fulfil the operation and maintenance services for CRG during the contract.”
The capital investment is €491 million, comprising both private sector and Exchequer funding under the National Development Plan and Transport 21. The preliminary design was part funded by the European Union from the Trans-European Transport (TEN-T) Networks budget. The PPP company who won the contract to design, build and operate the motorway is Celtic Roads Group (Portlaoise) Ltd.

The final award of contract will be subject to approval of the Final Business Case by Councillors in July.
BAM announced preferred bidder for £600 million schools programme

BAM PPP led consortium, including BAM Construction and BAM Facilities Management, has been selected by Somerset County Council to undertake its £600 million Building Schools for the Future (BSF) programme.
The first phase will be the £100 million rebuilding of Bridgwater's four secondary and two special schools, with construction work expected to begin shortly after Financial Close in June 2010.

The LEP's dedicated management team will work with SCC over the next 10 years to ensure that their vision for education transformation leverages wider regeneration and socio-economic opportunities. It aims to:
- help raise standards in education and life-long learning
- support the school staff and pupils in making the most of the new school facilities and resources
- undertake wide ranging activities for students to be involved in the building and running of their school, providing informal curriculum and personal development opportunities
- deliver value for money and continuous improvement that translates into reduced costs to develop, construct and operate future schools in Somerset,
- actively promote and support participation in community use and leisure activities through programmes for sport, arts and culture, and family and adult learning within the new school facilities,
- work with BAM?s local supply chain to offer a tailored programme of mentoring activities, work placements, and training opportunities for pupils, staff and the local community, to support the regeneration of the local economy.

BAM sells remaining share in PPP joint venture to DIF

Investor DIF (Dutch Infrastructure Fund) has acquired the final 50 per cent of the shares in the joint venture with BAM PPP. This joint venture was established in December 2007 and has four operational UK PPP projects in its portfolio. BAM PPP remains as the management services provider to all four concessions. The final divestment of 50 per cent by BAM PPP results in a book profit for BAM of more than €9 million.
The transaction fits the long term divestment strategy of Royal BAM Group to realise some of the underlying value in its portfolio of PPP projects, and to recycle funds to support the active bidding programme of BAM PPP.
Financial close reached for first Swiss PPP project 'Neumatt – Cantonal Administration Center Burgdorf'

Canton Bern has reached financial close with BAM Deutschland AG and Marti Generalunternehmung AG (in consortium with BAM PPP) for its PPP project 'Neumatt - Cantonal Administration Center Burgdorf' (formerly 'Zeughausareal Burgdorf'). The project is the first Public Private Partnership project in Switzerland to be based on international project finance standards. The project encompasses the demolition of the old buildings, as well as planning, financing, construction and operation of the new 'Neumatt - Cantonal Administration Center Burgdorf'. This will include three planning units, a prison (110 beds), a street inspection office including an operation center and finally an administration center.
The debt funding will be provided by a bank consortium comprising among others NIBC and led by UBS.
Ghent University and BAM reach financial close PPP-project Kantienberg

The, in august 2009 reported, project of Ghent University for design, build, finance and maintenance (DBFM) of approximately 650 student apartments and an underground parking, as well as redevelopment of the university restaurant, has reached contractual and financial close. The project Kantienberg has a value of approximately €100 million for BAM.
The apartment building is designed by Huiswerk architects in Antwerp. The first apartments will be ready in 2011. The project will be completed in 2012.
For this project BAM PPP (the operating company of Royal BAM Group, specialised in public-private partnerships) is working in close collaboration with its Belgian sister company CEI-De Meyer.
The financing for this project will be provided by NIBC Bank and BNG Bank.
N25 Waterford City Bypass Opens Ahead of Schedule

The N25 Waterford City Bypass was officially opened today (Monday 19th, October 2009) 10 months ahead of schedule by Mr Martin Cullen, T.D., Minister for Arts, Sport and Tourism.
The scheme commences at Kilmeaden west of Waterford City, crosses the River Suir and ties in with the existing N25 (Rosslare to Cork route) east of Slieverue in Co. Kilkenny. One of the projects main features is the cable-stayed bridge crossing the River Suir at Grannagh.
The new Bypass will:
- Reduce traffic levels on the City’s quays by 30%
- Shave 20 minutes off peak journey- times on N25 Rosslare/Cork route
- Reduce cross City journey times
- Cater for 14,000 vehicles per day,10% of which it is estimated will be heavy goods vehicles
- Provide 23km dual carriageway standard road
- Allow traffic at the N24/N9 junction to the north west of Waterford City and N25 Cork–Rosslare to bypass the City.
Speaking today at the official opening ceremony, Mr Martin Cullen T.D., Minister for Arts, Sport and Tourism, said: ‘This new gateway to Waterford heralds a new beginning for Waterford and for the South East. The new cable-stayed bridge and Waterford City Bypass together with the Waterford to Dublin Motorway will transform travel in the whole Region resulting in shorter journey times and safer road conditions. Upon opening, approximately 14,000 vehicles per day will use the Waterford Bypass. This will reduce traffic volumes currently using Rice Bridge, having the effect of removing some 10,000 to12,000 vehicles per day from the city quays. This will have the added benefit of allowing us to rejuvenate our city along the quays to the maximum commercial advantage.’
Peter Malone, Chairman of the National Roads Authority, said: ‘Four decades of waiting are finally over and now the people of Waterford have the bypass they have been crying out for. It will breathe new life into the City residents and the Region as a whole, allowing business and industry to operate more efficiently. City dwellers, visitors and tourists will enjoy a more pleasant, healthier and safer environment. The new Suir Bridge at Grannagh is the longest cable-stayed bridge in the State and was built to complement its environment. It is an impressive structure and I am sure it will become a focal point for the people of Waterford. The early delivery of this Public Private Partnership scheme clearly demonstrates the benefits brought by the private sector in accelerating the delivery of the roads programme.’
The N25 Waterford City Bypass Scheme was funded through private finance raised by the PPP Co. (Celtic Roads Group) and through Government funding under the National Development Plan (NDP), 2007-2013.
The estimated cost of design, construction and operation of the bypass is in excess of half a billion euro. The Exchequer contribution was €255m in respect of land, planning & design, advance contracts, supervision, archaeology and construction grants.

- The new Suir Bridge is the State’s longest cable-stayed bridge (465m long with a span of 230m)
- The contractor was Celtic Roads Group (Waterford) Ltd, comprising BAM PPP bv, Iridium and NTR plc.
- The scheme forms part of the Government’s development strategy under Transport 21 for the Atlantic Road Corridor that stretches from Waterford to Donegal.

Burgdorf is situated east of Berne in the Emmental, Switzerland. The project is the first Public Private Partnership project in Switzerland which is carried out based on international project finance standards. The project encompasses the demolition of the old buildings, as well as planning, financing, construction and operation of the new 'Zeughausareal'. This will include three planning units, a prison (110 beds), a street inspection office including an operation center and finally an administration center. The total area of the new 'Zeughausareal' is about 30,000 m².
Financial close will be reached in November 2009. The construction phase is set for two and a half years. After completion in March 2012, Hälg Facility Management AG will operate the new areal. The operations will be carried out for a period of 25 years. Canton Berne has reserved the right to extend the operation phase for additional five years.
The debt funding will be provided by a bank consortium comprising among others NIBC and lead by UBS.
BAM PPP reaches financial close on new parliament building for federal state of Brandenburg

BAM PPP has reached financial and contractual close on Brandenburg’s €120 million parliament building in Potsdam. BAM PPP is sponsoring the deal with its sister company BAM Deutschland as building contractor and sister company Müller-Altvatter Gebäudemanagement providing operational and maintenance services throughout the thirty year operational concession.
The project includes design, financing, maintenance and operating of the new building for the 88 members of parliament of the federal state of Brandenburg, which is currently located on Potsdam's Brauhausberg. The new 19,000 square meters parliament buildings will be erected in the heart of the city, on the foundations of the old city palace on the 'Old Marketplace' (Alter Markt), next to the Church of St. Nikolai and the Old Townhall. Architects are Peter Kulka Architecture, with offices in Dresden and Cologne.
The Potsdamer Stadtschloss (Potsdam City Palace) was the winter residence of the kings of Prussia. Originally built in 1669 it was rebuilt around 1750 by Frederick the Great, transforming it into one of the most important examples of baroque architecture. In April 1945 the City Palace was bombed and heavily damaged. The former East German authorities demolished the ruins in the 1960's.
BAM Deutschland will start construction work on site in the spring of 2010. The new parliament is due to open in January 2013.
The debt funding has been provided by Bayerische Landesbank, NIBC Bank and KFW IPEX-Bank.

PPP-contract Ghent University to BAM

Ghent University has awarded the PPP-project Kantienberg-Overpoort in Ghent to BAM. The project includes design, building, financing and maintenance of approximately 650 student apartments and an underground parking, as well as redevelopment of the university restaurant at the Overpoort. For BAM this DBFM contract has a value of approximately €100 million. Contractual close and financial close are due to be reached in October.
The apartment building is designed by Huiswerk architects in Antwerp. The first apartments will be ready in 2011. The project will be completed in 2012.
For this project BAM PPP (the operating company of Royal BAM Group, specialised in public-private partnerships) is working in close collaboration with its Belgian sister company CEI-De Meyer.

The Executive Board of Royal BAM Group nv has appointed Mr H. Duncan and Mr K. Meade as group company directors of BAM PPP bv with effect from 1 March 2009.
Harry Duncan is currently director of finance (investments) of BAM PPP. Kieron Meade is currently operating as commercial director of the company.
As of 1 March 2009, the management of BAM PPP will therefore consist of Mr R. Fielder (chief executive), Mr H. Duncan and Mr K Meade.

Bunnik, The Netherlands, 25 November 2008 - Investor DIF (Dutch Infrastructure Fund) has agreed to acquire an additional 25 per cent of the shares in the joint venture with BAM PPP with the transaction to be completed in early December 2008. This joint venture in which both parties will then hold an equal share was established in December 2007 and has four operational UK PPP projects in its portfolio. The additional divestment of 25 per cent by BAM PPP will result in a book profit for BAM of approximately €10 million. This book profit was already included in BAM's net profit forecast for 2008, as published in the half-year report on 28 August 2008.
The transaction fits the long term divestment strategy of Royal BAM Group to realise some of the underlying value in its portfolio of PPP projects, and to recycle funds to support the active bidding programme of BAM PPP. BAM considers the joint venture with DIF as an excellent opportunity to collaborate with an active player in the secondary investment market. The joint venture will be continued by BAM PPP and DIF on a 50/50 basis.
Royal BAM Group nv will publish the results for the first nine months of 2008 on Tuesday 27 November 2008.
BAM wins joint venture PPP contract for Liefkenshoek Rail Link in Antwerp
Wednesday 5 November 2008 - Royal BAM Group nv, Bunnik
Bunnik, The Netherlands, 5 November 2008 - The Locorail consortium formed by BAM PPP (50%), CFE (25%) and Vinci Concessions (25%) has won the contract to build the Liefkenshoek Rail Link in Antwerp. The client is Belgian rail network infrastructure manager Infrabel. Locorail is responsible under this public-private partnership contract for the design, construction and financing of the new railway tunnel and for its maintenance for a period of 38 years. The contract value amounts to around €840 million.
The contract involves the design and construction of 16.2 kilometres of double-track rail link, consisting of 4.8 kilometres of embankment, 4.2 kilometres of open and covered trench, 1.2 kilometres of existing tunnel (reopening of the already built but never used Beveren Tunnel) and almost 6 kilometres of double-bored tunnel with an internal diameter of 7.3 metres. The Liefkenshoek Railway Tunnel will provide a vital expansion of transport capacity between the left and right banks of the Port of Antwerp, which has experienced significant growth since the opening of Deurganck Dock.
Locorail will award construction to the Locobouw building consortium, which is made up of MBG, CEI-De Meyer, Wayss & Freytag Ingenieurbau and Vinci Construction Grands Projets (each 25% partners). CEI-De Meyer and Wayss & Freytag Ingenieurbau are operating companies of Royal BAM Group nv.
Work will start in late 2008 and is expected to be completed by mid 2013
BAM PPP reaches financial close on West Dunbartonshire PPP schools project

Bunnik, 24 January 2008 - BAM PPP has reached financial close on West Dunbartonshire Council's £105m PPP schools project. BAM PPP is sponsoring the deal with its sister company HBG UK providing an integrated solution with HBG Construction as building contractor, HBG Design as a key member of the design team and HBG Facilities Management providing operational and maintenance services throughout the 30 year operational concession.
The contract will provide new-build replacement facilities for four schools. Sustainability is at the heart of the design and operation of the schools with geothermal heating at all sites and designed to achieve the highest Building Research Establishment sustainability rating of 'BREEAM' Excellent'. The schools are:
- the 1,100 pupil Vale of Leven Academy,
- 1,500 pupil Clydebank High School,
- 1,500 pupil St Peter the Apostle High (an amalgamation of St Columba's High School and St Andrew's High School on the site of St Columba's) and
- the 442 pupil St Eunan's Primary School / Early Education & Childcare Centre (co-located with the St Peter the Apostle High School).
The schools are all of distinct and bespoke design with each school responding to its educational needs, site characteristics and particular stakeholder requirements. All of the schools will have extended opening during evenings and weekends to provide high quality facilities for community use.
Work will commence this month with the new high schools opening in the summer of 2009 and the primary school in the autumn of 2010.
BAM PPP is providing 100% of the £8m equity investment required while Dexia is providing £97m of senior debt.

BAM PPP transfers four UK PPP projects to new joint venture with DIF

Bunnik, The Netherlands, 10 December 2007 - The joint venture between BAM PPP and investor DIF (Dutch Infrastructure Fund) - which was announced by Royal BAM Group on 29 May 2007 - is now established and has acquired four operational projects from BAM PPP. Initially BAM PPP will hold 75 per cent of the new company, but the intention of both parties is to have equal shares by the end of 2009. The initial divestment of 25 per cent results in a book profit for BAM of approximately €12.5 million. This amount was already included in BAM's net profit forecast for 2007 of at least €310 million, as published 29 November.
This transaction fits the long term divestment strategy of Royal BAM Group to realise some of the underlying value in its portfolio of PPP projects, and to recycle funds to support the active and growing bidding programme of BAM PPP. The joint venture with DIF marks the commencement of this divestment programme and represents an excellent opportunity to collaborate with an active player in the secondary investment market.

BAM PPP reaches financial close on M7/M8 Portlaoise PPP project

Bunnik, 27 June 2007 - BAM PPP has reached financial close on the M7/M8 Portlaoise Motorway PPP project. BAM PPP is part of the Celtic Roads Group (CRG) Consortium including NTR plc and Iridium Concesiones de Infraestructuras S.A.
The scheme consists of the design, construction, financing, operation and maintenance (including tolling) of approximately 41 km of standard two-lane motorway, 3 km of single carriageway link roads, 15 km of side roads, three grade separated junctions and a motorway to motorway interchange. The new motorway will commence from the M7 Portlaoise By-pass and continue to beyond Borris in Ossory on the existing N7, and beyond Cullahill on the existing N8.
Construction will be undertaken by a 50:50 joint venture between Ascon Ltd and Dragados S.A. and is due to be complete by September of 2010. Construction value is approximately €300 million. The operation and maintenance concession is until 2037.
A mainline toll plaza will be located in the townland of Fatharnagh, close to the river Cappanacloghy, north of the motorway interchange. This toll plaza will consist of multiple lanes in each direction with varying combinations of manual payment, automatic coin payment and electronic toll collection (ETC) lanes being possible under different traffic loading conditions.
The debt funding has been provided by Bank of Ireland, ING Bank, Banque Société Générale and the European Investment Bank.

BAM PPP and DIF in joint venture for four UK PPP-projects

Bunnik, The Netherlands, 29 May 2007 - BAM PPP - the operating company of Royal BAM Group, which specialises in the investment and operation of public-private partnership projects - has signed a Memorandum of Understanding with the investor DIF (Dutch Infrastructure Fund) to form a joint venture to separately hold the equity in part of its investment portfolio. BAM PPP will initially hold a majority share in the new company, but the intention of both parties is to have equal shares by the end of 2009.
Royal BAM Group has publicly indicated its intention to implement a long term divestment strategy to realise some of the underlying value in its portfolio of PPP projects, and to recycle funds to support the active and growing bidding programme of BAM PPP. The joint venture with DIF marks the commencement of this divestment programme and represents an excellent opportunity to collaborate with an active player in the secondary investment market.
It is anticipated that the proposed joint venture will acquire four operational UK projects from BAM PPP with PPP receivables of over EUR 250 million. The book value of the equity invested in these projects amounts to approximately EUR 30 million. The agreed upon value of the equity for the joint venture will be fixed after a due diligence on behalf of DIF. It is intended that the formation of the joint venture, due diligence and transfer of the investments, will be completed in the second half of 2007.

BAM PPP Reaches Financial Close on Solihull BSF

3 May 2007 - BAM PPP has reached financial close on Solihull Council's £83m BSF project. BAM PPP is sponsoring the deal with HBG UK providing an integrated solution with HBG Construction as building contractor, HBG Design providing some of the design services and HBG Facilities Management providing services on the 27 year operational concession.
The scheme consists of a construction value of £83m for three PFI schools and a D&B school all contracted through a single project agreement. The schools are all of distinct and bespoke design with each school facility responding to the educational vision and particular stakeholder requirements. The school will have extended opening to provide high quality facilities for the community.
The PFI schools are Smith's Wood Sports College (1400 pupil), Park Hall Secondary School (1400 pupil), and Lanchester Campus comprising Lanchester School (50 Pupil ESBD) and a 40 place Pupil Referral Unit. The design and build school is Archbishop Grimshaw Catholic School (1400 pupil), a VA school operated by the Archdiocese of Birmingham. The Lanchester Campus will be the first to become operational in July 2008, with Park Hall and Archbishop Grimshaw schools operational in October 2008 and lastly Smith's Wood fully operational in August 2009.
The ICT element of the project is outside of the PFI and has been separately procured by the Council who appointed RM Education as their ICT provider. BAM, RM, HBG and the Council have all worked closely to integrate ICT into the design and operation of the schools. An ICT Interface agreement is in place between RM and BAM.
BAM PPP provided 100% of the £6m equity and sub debt; DePfa Bank is providing £61m of debt for the PFI element of the project on a 27 year tenor and the Council contributed £24m for the design and build school and grant aided project elements.

Consortium Autobahnplus reaches financial close for first PPP-motorway (A-Model) in Germany

Bunnik/Rotterdam/Haarlem, Netherlands, 3 May 2007 - Consortium Autobahnplus has reached financial closefor widening 37 km of the A8 motorway between Augsburg and Munich. Autobahnplus is a consortium formed by BAM PPP, Trapp Infra Wesel (VolkerWessels), Fluor Infrastructure, Berger Bau and Egis Projects. The client is the Motorway Authority for South-Bavaria (Autobahndirektion Südbayern) on behalf of the Federal Ministry of Transport.
The value of the construction activities is approximately € 250 million. BAM PPP, Fluor Infrastructure, and Trapp Infra Wesel each have a share of 25%. The construction - by the consortium partners and Wayss & Freytag Ingenieurbau (BAM) - will last until December 2010. During the 30 year concession period the consortium will also be responsible for operating and maintaining an additional 15 km of motorway around Munich, for a total concession length of 52 km.
The A8 is an important corridor in Southern Germany belonging to the Trans-European Network (TEN). The motorway was built more than sixty years ago; it currently has two lanes in each direction with soft shoulders. When the reconstruction is complete, there will be three lanes open for traffic in each direction with hard shoulders.
The A8 is the first PPP motorway project in Germany and the first in a series of five pilot projects. The Autobahnplus consortium is currently one of the four remaining bidders for the A1 project.
